These Terms of Service ("Terms") govern your use of all Sing with the Stars, LLC ("Sing with the Stars") web properties, including our main website, any official blogs, subdomains, event registration pages, email lists, and related services or sites ("Services"). By accessing or using our Services (for example, browsing our site, registering for an event, or subscribing to our emails), you agree to these Terms ("Agreement"). We've written these Terms in plain language to be easy to understand while still protecting our rights. If you do not agree with these Terms, please do not use our Services.

Your use of our Services is also subject to our Privacy Policy, which describes how we collect, use, and protect your personal information. By using our Services, you agree to the terms of our Privacy Policy as part of the Agreement. Please review it to understand your rights and choices regarding your data.

1. General Website Use

We invite you to use our website for lawful, personal, and informational purposes. In using our site, you agree to behave responsibly and not misuse it. In particular, you agree not to use the site in ways that could:

  • Break the Law or Violate Rights: You will not use our site to do anything illegal (whether under laws in your location or ours) or infringe upon anyone's rights (for example, posting content that violates someone's intellectual property or privacy).
  • Abuse or Harass: You will not harass, spam, or cause nuisance to other users of our site or Services. This includes avoiding any behavior that is defamatory, obscene, or otherwise objectionable.

We are not responsible for the content, policies, or practices of these third-party sites, and accessing them is at your own risk. The inclusion of any link does not imply endorsement or association.

2. Purchases & Bookings

When you book an event or make a purchase through Sing with the Stars, certain terms apply to ensure a smooth experience for everyone. Please read any event-specific details at the time of booking as well. Here's how it generally works:

  • Booking Confirmation: When you register for an event or book a ticket through Sing with the Stars, you will typically receive a booking confirmation (for example, via SMS or email). This confirmation acknowledges that we have received your registration or purchase. For some free events, we require approval before your attendance is confirmed. This means that simply registering online for a free event does not guarantee your spot or entry. Your registration serves as a request to attend, and we reserve the right to accept or decline such requests at our discretion (for example, if space is limited or certain criteria apply). If an event is free but subject to approval, you will receive a separate confirmation from us if you are approved to attend. In summary, registering for a free event alone does not automatically entitle you to attend that event – you must receive an explicit confirmation from Sing with the Stars for attendance. For paid events (or events that require ticket purchase), your booking is generally confirmed upon successful payment. In those cases, your confirmation guarantees your spot unless we inform you otherwise (e.g. in rare cases of event cancellation or changes by us). Always check the specific event details for any additional terms that might apply.
  • Cancellation by You (Refunds): In general, all individual ticket sales are final. If you are unable to attend an event you registered for, please note that we do not offer refunds for your cancellation unless the event's specific terms explicitly allow it. This policy applies no matter when you cancel (even if it's close to the event date or far in advance) – timing does not entitle you to a refund. The only exception is if the event page or description clearly states a different refund or cancellation policy (for example, an event might explicitly offer a refund or credit under certain conditions; in such cases, that specific event policy will apply). If no such refund terms are stated for the event, assume that no refunds will be available for cancellations. We encourage you to be sure you can attend an event before registering or purchasing a ticket, as refunds or exchanges will not be provided otherwise. Any applicable refunds might exclude certain fees (such as administrative or processing fees) as specified in the event details. We will always honor any refund policy that was presented to you at the time of purchase.
  • Cancellation or Changes by Us: Sing with the Stars reserves the right to cancel, postpone, or make significant changes to an event if necessary (for example, due to low enrollment, venue issues, or circumstances beyond our control). If we cancel an event you've paid for, you will be entitled to either a full refund of the amount you paid (less a 4% administration fee) or an option to attend a rescheduled or alternative event. We will inform you of your options in such a case. However, while we will refund your ticket or booking price, we are not responsible for other costs you may have incurred related to the event. This means we aren't liable for travel or accommodation expenses, loss of time, or other consequential costs due to a cancellation or schedule change. We recommend waiting for our confirmation before making any significant travel plans, or obtaining travel insurance if applicable.
  • Prices & Payments: All prices for events or services will be clearly stated, and any applicable taxes or fees will be disclosed at checkout. Payments are processed through our authorized payment providers. By providing payment information, you represent that you are authorized to use the payment method and you authorize us (or our third-party payment processor) to charge the full amount of your purchase. If a payment is not successfully settled (for example, due to expiration or insufficient funds), your booking may be cancelled or not confirmed.
  • Order Acceptance and Right to Cancel: We reserve the right to refuse or cancel any order at our discretion. This may occur, for example, if we suspect fraud, if an order cannot be fulfilled, or if there are errors in product information or pricing. Your order is only deemed accepted once we actually ship the product or provide the service to you. If we cancel an order after your payment has been processed, we will issue you a full refund for that order. We also reserve the right to limit quantities per person or household, or to prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers, or distributors.
  • Client Agreements Take Precedence: If you are using our Services as part of a separate written contract with Sing with the Stars (for instance, if you are a client who hired us for a private event or a partner organization), the terms of that signed agreement will also apply. In case of any conflict between that agreement and these website Terms, the specific contract terms will override the website Terms for the scope of that relationship. In other words, these Terms are not intended to change or contradict any obligations or remedies stated in a direct contract you have with us.

3. User Content & Marketing

We love featuring the experiences and feedback of our community. You might send us content (like testimonials or photos), or we might capture content during events (like photographs or video of participants). This section explains how we may use such content and the permissions you grant us:

  • Your Submissions (Testimonials, Comments, etc.): If you submit any content to us – for example, by emailing a testimonial, filling out a feedback form, commenting on our social media, or otherwise sharing your stories, photos, or opinions – you keep ownership of your content, but you give us permission to use it. Specifically, by submitting content, you grant Sing with the Stars a license to use, copy, modify, publish, display, and distribute that content for our business purposes (for example, we might publish your testimonial on our website or use your photo in a social media post highlighting an event). This license is royalty-free (no payment to you required), worldwide, and non-exclusive – meaning you can still use your content elsewhere too. We might edit or format your content (for example, correct typos or excerpt a quote) but will not alter the meaning. Of course, you promise that you have the right to share the content with us in the first place (e.g., the text or images are yours to share, and sharing them doesn't violate anyone else's rights). We also reserve the right to decide not to publish or to remove any content you submit if we find it inappropriate or if you request removal.
  • Event Photos & Videos: Please be aware that Sing with the Stars staff or authorized photographers may take photos or videos during our events (both in-person and virtual events). We use these for promotional purposes, such as sharing the fun moments on our website, social media, or future marketing materials. By attending our events, you consent to being photographed or recorded as an event participant, and you give us permission to use your likeness in any such media. We will not use your name or identify you explicitly without your permission, but your image may appear in group shots or event footage. If you strongly object to appearing in photos or videos, please let our staff know; we will do our best to accommodate reasonable requests (for example, by focusing the camera elsewhere), but we cannot guarantee you will not appear at all. Generally, by attending, you understand and agree that we may capture you on film and use those recordings for our legitimate business interests (like event recaps and promotions).
  • Social Media Mentions: We absolutely appreciate you tagging us or using our hashtags on social media! It helps us see your posts and share the excitement. If you post about Sing with the Stars on social platforms (for example, you upload a photo from one of our events and tag our official account or use a specific event hashtag), we may re-share or highlight your post on our own social media or website. We will credit you by username whenever possible. If you prefer we not re-share your social post, just message us and we will respect that. Also, keep in mind that anything you post on our official pages (such as commenting on our Instagram page or replying to our tweets) may be public. We reserve the right to moderate or delete comments on our pages that violate our conduct rules (for example, no hate speech, spam, or inappropriate content), to keep our community welcoming for everyone.
  • Communication Consent (Email, Direct Message, & SMS): We'll send you important updates about your bookings, events, and occasional promotions via email, social media, and text. You can opt out anytime.
  • Email: If you provide us with your email address, we may send you newsletters, event announcements, or special offers. You can always opt out of marketing or non-essential emails by clicking the "unsubscribe" link provided in those emails. Even if you opt out of marketing emails, we may still send you transactional emails related to your registrations or purchases (for example, a booking confirmation or a critical event update) since those are necessary for providing our services to you.
  • Social Media Direct Messaging: If you engage with us on social media platforms (e.g., Instagram, Facebook, Twitter, LinkedIn, TikTok, or other applicable networks) and provide your contact details or message us directly, you consent to receiving relevant updates, reminders, and promotions via social media direct messaging. You may opt out by unfollowing our account, blocking messages, or requesting in writing that we stop contacting you via a particular platform. Note that certain platforms may have their own settings for controlling messages, which you should review separately.
  • SMS/Text Messages: If you provide your mobile phone number and agree to receive text messages, you consent to occasional SMS communication from us. These might include ticket or booking confirmations, event reminders, or urgent updates. You may opt-out of receiving SMS messages at any time by replying "STOP" to any of our texts. Once you opt out, you will not receive further SMS messages, unless you later decide to opt in again. If you need help or have issues with SMS, you can reply with "HELP" (if applicable) or contact us through our support channels.

Standard message and data rates may apply to any SMS we send or that you send to us. The frequency of messages will vary based on your interactions (for example, you'll receive texts when you register for certain events, plus occasional news if you've opted in to those updates). We will never sell or share your contact details with third parties for their own marketing purposes without your explicit consent, and you can review our Privacy Policy for more details on how we handle your personal information.

4. Intellectual Property

All content and materials on Sing with the Stars web properties are protected by intellectual property laws to safeguard both us and you. Here's what that means:

  • Our Content Ownership: Unless otherwise noted, Sing with the Stars owns all the content on our website and related online Services. This includes (but isn't limited to) the text, graphics, logos, artwork, photos, videos, audio clips, design layout, and software on our site. These are either owned by us or licensed to us by third parties. All such content is protected by copyright, trademark, and other intellectual property laws. We're happy for you to browse, and even download or print content for your personal, non-commercial use, such as reading an article or saving event details for your reference. However, you may not copy, reproduce, modify, publish, distribute, or exploit our content for any other purpose without our express prior written permission. In plain terms: the content is provided for your information and personal use only, and not for you to reuse for your own commercial gain. If you want to share something from our site, you may link to our pages, or use our official social media share buttons — just don't steal or plagiarize our material.
  • Trademarks & Branding: "Sing with the Stars"™ and the Sing with the Stars logo are trademarks and proprietary branding of our company. All rights regarding these trademarks are reserved. You may not use our name, logos, or any brand identifiers in any way without our prior written permission. This includes not using our logo on your own website, materials, or merchandise. The only exception to this rule is if we have explicitly agreed in writing to let you use our branding as part of a co-branded or co-marketed event that we are involved in. In such cases, the way you can use our name or logo will be clearly defined in our agreement with you. Outside of an approved partnership or co-hosted event, any use of "Sing with the Stars" trademarks by third parties is strictly prohibited. We take the protection of our brand seriously, and unauthorized use of our trademarks or confusingly similar marks may violate intellectual property laws.
  • Limited License for Use: We do grant you a limited, revocable license to access and use our website content for its intended purpose – which is to engage with our offerings (like reading about events, registering, or learning about our services). This license does not include any rights to resale or commercial use of our content, nor any data scraping, data mining, or use of any robots or similar data gathering tools. You also may not frame or use framing techniques to enclose any of our content without permission. Any unauthorized use terminates the permission or license we've granted you. If you are an educator, journalist, or blogger who would like to use our content beyond what these Terms allow (for example, including a snippet of our content in an article or featuring our logo), please contact us – we often gladly grant permission for legitimate requests, but it must be done in writing.

5. Dispute Resolution

We hope you never have any serious disagreements with us, but if something does come up, this section explains how we agree to resolve it. By using our Services, you agree to the following process for disputes:

  1. Contact Us First – Friendly Resolution: If you have a concern or dispute regarding our Services or these Terms, please contact us informally first. You can reach out via email or the contact form on our website. We believe most issues can be resolved quickly and in good faith by simply communicating. We will try our best to address your concern and work with you to find a satisfactory solution.
  2. Non-Binding Arbitration: If we can't resolve the issue through discussion, you agree to attempt to resolve it through non-binding arbitration before going to court. Arbitration is a process where an independent neutral third party (the arbitrator) listens to both sides and tries to help resolve the dispute. "Non-binding" means that after the arbitrator makes a decision, either of us can choose not to accept that outcome and still proceed to court if we wish. In other words, this step is meant to facilitate a possible resolution, but it doesn't take away your (or our) right to have a court finally decide the matter. The arbitration will be conducted in a manner we both agree upon. Typically, we would use a reputable arbitration service. Each side will bear its own costs for arbitration (split any arbitrator fees, if applicable), unless the arbitrator decides otherwise. This arbitration requirement does not apply to claims that can be handled in small claims court, as long as they are filed only in that court.
  3. Court (if needed): If arbitration doesn't resolve the dispute, either party may pursue formal legal action in court. You and Sing with the Stars agree that any lawsuit will be filed in an appropriate court in the State of New York, unless otherwise required by law. By agreeing to these Terms, you are also agreeing that you will first try steps 1 and 2 above before suing us in court. We each retain the right to seek injunctions or equitable relief in court if necessary to prevent immediate harm (for example, intellectual property infringement might require a court order to stop it quickly), but for any request for monetary damages or such, we'll go through the process above.

Important: This dispute resolution agreement waives any right to a jury trial and to participate in a class action, to the maximum extent allowed by law. That means you are agreeing to resolve disputes with us on an individual basis, not as part of a group or class. The arbitration (or court, if it gets to that) will therefore be solely between you and Sing with the Stars, not a combined case with other users. If this class action waiver or any part of this dispute process is found unenforceable, then it may be severed from the Terms, and it won't affect the validity of the rest of the dispute resolution provisions.

  • Governing Law & Jurisdiction: These Terms are governed by and interpreted under the laws of the State of New York, without regard to its conflict of law principles. Any disputes arising under these Terms or related to our Services must be resolved exclusively in the state or federal courts located in New York, and you consent to the personal jurisdiction of these courts.

6. Limitations of Liability

We want to be as transparent as possible about how far our responsibility goes if something doesn't work right or if you incur a loss in connection with our Services. In legal terms, this section limits our liability and disclaims certain warranties. In simple terms, while we strive to provide great services, there are things we cannot promise and things we are not responsible for. Please read this part carefully:

  • Services Provided "As Is" (No Warranties): Sing with the Stars provides the website and all services "as is" and "as available," without any warranties or guarantees of any kind. This means we do not explicitly or implicitly guarantee that our site or services will always be available, error-free, virus-free, or that they will meet your expectations. We disclaim any and all warranties, express or implied, to the fullest extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. For example, we don't warrant that an event will achieve any particular outcome for you (such as improving your singing skills or guaranteeing enjoyment – though we certainly hope it does!), and we don't warrant that our website will be 100% uninterrupted or secure. That said, if something goes wrong, we will do our best to fix it and assist you within reasonable measures. Just note that using our Services is at your own discretion and risk.
  • No Indirect or Consequential Damages: To the fullest extent allowed by law, Sing with the Stars (and our directors, employees, partners, and affiliates) will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of (or inability to use) our website or services. This includes, for example, we are not liable for: loss of profits or revenue, loss of data, loss of goodwill, business interruptions, or other intangible losses; your cost of procuring substitute services or travel; or any other similar damage or loss that was not a direct result of our actions. Some jurisdictions do not allow the exclusion of certain types of damages, so this exclusion may not fully apply to you if you live in one of those places – but in such case, it will apply to the maximum extent permitted.
  • Force Majeure: Sing with the Stars will not be liable for any failure or delay in performance of its obligations (including providing products, services, or access to the Site) if that failure or delay is caused by events beyond its reasonable control. This includes, but is not limited to, acts of God, natural disasters, war, terrorism, civil disturbances, epidemic or pandemic, power or internet outages, labor strikes, or governmental actions. In such an event, our duties will be suspended for the duration of the event outside our control.
  • Event Participation Disclaimer: By attending a Sing with the Stars event, you acknowledge and agree that you are responsible for your own safety and belongings. Sing with the Stars is not liable for personal injury, property loss, or any unforeseen circumstances arising during an event, including but not limited to accidents, theft, or third-party actions. Attendees participate at their own risk.
  • Liability Cap (Maximum Liability): In any case, if we are found responsible for any claim arising out of these Terms or your use of our Services, our liability to you is limited to the amount you paid us for the service in question. If the claim involves your use of the website generally (and no specific purchase), our liability is capped at a nominal amount ($50). In no event will our total liability exceed the fees you have paid to us (if any) for the particular event, product, or service that gave rise to the claim. For example, if you paid a $100 ticket for an event and something went wrong that was legally our fault, the most we would owe you is $100 (in addition to, if applicable, refunding that ticket if not already refunded). This limitation applies whether the liability arises from breach of contract, tort (negligence, etc.), or any other legal theory. The only exception is where applicable law prohibits such liability limitations – in that case, our liability will be limited to the smallest amount the law allows.
  • Indemnification: (Indemnity is a way of saying you agree not to hold us responsible for certain things.) You agree that if a third party makes a claim against Sing with the Stars related to your misuse of our Services or your violation of these Terms, you will indemnify and hold us harmless from those claims. This means you will be responsible for any loss or damage we suffer, including reasonable attorneys' fees, because of your actions. For example, if you post something on our site that infringes someone else's copyright and they sue us, you'd cover our costs. We'll notify you of any such claim and cooperate with you, and you agree to cooperate with us in our defense.

We believe these limitations are reasonable given the nature of our Services. We are providing a platform and events to the public, and while we stand by our offerings, we can't take responsibility for every possible outcome or unforeseen issue. By using our Services, you acknowledge and accept that risk.

If you are between 13 and the age of majority in your jurisdiction, you may only use the Service under the supervision of a parent or legal guardian who agrees to be bound by these Terms. The Service is not intended for children under 13, and we do not knowingly collect personal information from anyone under 13. You must be at least 21 years old to attend in person Sing with the Stars events unless otherwise specified in the event terms.

8. Severability & Entire Agreement

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. These Terms (including our Privacy Policy) constitute the entire agreement between you and Sing with the Stars regarding your use of our Services and supersede any prior agreements or understandings, whether written or oral.
